Terms and Conditions

This Agreement contains the complete terms and conditions that apply to an individual's or entity's participation in PhysicianCVs.com and in the Physician Candidate Network or the Physician Recruiter Network, the Physician Board Network and the Medical Center Network (Collectively the "Network"). As used in this Agreement, "we" means PhysicianCVs.com, and "you" means the applicant or user. "Site" means a World Wide Web site and, depending on the context, refers either to the PhysicianCVs.com site located at the URL www.PhysicianCVs.com, or to the site that you will link to our site.

1. Enrollment on PhysicianCVs.com

To begin the enrollment process, you will submit a completed Physician Candidate, Physician Recruiter or Medical Center application via our site. If you are applying for Membership as a Physician Recruiter or Medical Center we will evaluate your application in good faith and will notify you of your acceptance or rejection. We may reject your application if we determine (in our sole discretion) that your background and/or Website and/or company position is not generally directed towards Physician Recruiting.

Unsuitable websites include those that:

• promote sexually explicit materials
• promote violence
• promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• promote illegal activities
• include "PhysicianCVs" or variations or misspellings thereof in their domain names
• Otherwise violate intellectual property rights
• Are not primarily Healthcare Industry Job centric

If we reject your application, you are welcome to reapply to the Network at any time. You should also note that if we accept your application and your position and/or website is thereafter determined (in our sole discretion) to be unsuitable for the Network, we may terminate this Agreement.

2. Data transfer protocols

PhysicianCVs has established numerous methods of transferring data, the most common being through email. All data manually entered into the site by Physician Candidates and/or Physician Recruiters is deemed to be at the risk of the user and we assume no responsibility for typos, grammar, or other items that are created by the user including but not limited to fields improperly checked.

3.  Job Ads - Physician CVs and other Data - Processing and Transfer

We will process CVs and related attachments placed on the site by Physician Candidates using our proprietary data base design. All CVs and related attachments are transferred to the Physician Recruiter Network Members determined by the specific criteria you pick upon signup; this is inclusive of the different job specialties and/or sub-specialties. You may change your criteria at any time using your home page tools. We will be responsible for all data fields and structure and handle customer service. We will track data delivered from our site to all Physician Recruiters. We may in the future, make reports available to you summarizing this activity. The form, content, and frequency of the reports may vary from time to time in our discretion.

4. BANNER ADS placed on site by Recruiters/site owners/others Exclusion liability

PhysicianCVs.com is not responsible for banners that are made in conflict with the law in any county, state or country.

We do our best to control the banner advertising on our site and our sponsors banners are from legitimate industry participants in the medical field. If you come across things that are not acceptable we request you to please contact us. The website and all content within are reviewed daily with great care and the webmaster and owner of PhysicianCVs.com are not liable for incorrect, incomplete information or materials and eventual consequences or actions on the basis of such information or material available on this website.

Nothing on this website can be duplicated and/or publicized in any way whatsoever, without written authorization of the owner

References to corporations, their services and products, and organizations are provided "as is" without warranty of any kind, whether expressed or implied.

Certain hypertext links in this site will lead to web sites that are not under the control of PhysicianCVs.com. When you activate any of these you will leave the PhysicianCVs.com web site and PhysicianCVs.com has no control over and will accept no responsibility of liability in respect of the material which follows.

5. Customer Data Retrieval and dispersal:

We will provide a data structure which includes fields and files we feel important to capture in order to make the Customer data of use to our Recruiter Network Members. We will also provide technical service to any Physician Recruiter Network members who would like to enhance their data capture field structure and may provide modules to you that can be skinned to your look, logos and designs to appear as if they are residing on your site. In the event that there is substantial work involved to achieve compliance between sites we will give you a quote on service costs prior to moving forward with any work. We will track data delivered from your site to our site. We will make reports available to you summarizing this activity. The form, content, and frequency of the reports may vary from time to time in our

5.1.  YouTube Accounts needed to utilize Video

	A.	In order to access some features of the Service, you will have to create a YouTube account. You may never use another's account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify YouTube/PhysicianCVs immediately of any breach of security or unauthorized use of your account.
	B.	Although YouTube/PhysicianCVs will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of YouTube/PhysicianCVs or others due to such unauthorized use.

5.2.  Use of Pictures and/or Video on PhysicianCVs

	C.	Is solely at your risk -- we do not guarantee that the Media you place on our site will be seen only on our site and only in the context or manner in which you have intended. Placing any media on the internet is inherently "non-controllable" by the host site and you recognize and agree with this assessment.
	D.	You expressly absolve us (PhysicianCVs and all of its owhers and employees) and hold us harmless of any liability now or in the future for any employment situation where by you feel that you did not receive any job or position based on the Media you have placed on our site.
	E.	You understand that you are NOT required to use the Picture or Video components of our site.

6.  Network Fees

We reserve the right to adjust our fee schedule with a 30 day notice and may charge fees to all participants, some participants (By Type) or none, solely at our discretion

7.  Policies

We may all change our policies and operating procedures at any time. Typically 30 days written notice will be appreciated by both parties

8.  Limited License

We grant to you and you grant to us, a nonexclusive, revocable right to use the graphic image and text and other images, solely for the purpose of identifying your site as a Network participant and to allow you to identify us as a partner. You may modify your graphic image or text, or any other of your images and we will accommodate such changes. We reserve all of our rights in the graphic images and text, any other images, our trade names and trademarks, and all other intellectual property rights. You agree to follow our Trademark Guidelines, as those guidelines may change from time to time. We may revoke your license at any time by giving you written notice.

9. Responsibility for Your Site
You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. For example, you will be solely responsible for:

• The technical operation of your site and all related equipment
• Creating and posting Product descriptions on your site and linking those descriptions to our website
• The accuracy and appropriateness of materials posted on your site (including, among other things, all Product-related materials)
• Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights)
• Ensuring that materials posted on your site are not libelous or otherwise illegal

We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site.

14. Term of the Agreement

The term of this Agreement will begin upon execution of this agreement and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to our site, and all PhysicianCVs.com trademarks, trade dress and logos, and all other materials provided by or on behalf of us to you pursuant to the agreement or in connection with the Network. Any use of site what so ever implies consent and agreement with the terms and conditions.

15. Modification

we may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on our site. If ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOU ACKNOWLEDGE YOUR CONTINUED PARTICIPATION IN THE NETWORK FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.

16. Relationship of Parties

You and we are independent individuals or entities, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section.

17. Limitation of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Network, even if we have been advised of the possibility of such damages. Further, our joint aggregate liability arising with respect to this Agreement and the Network will not exceed the total Network fees paid or payable to us under this Agreement.

18. Disclaimers

We make no express or implied warranties or representations with respect to the Network or any Job Placement Packages sold through information found on the Network (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

19. Independent Investigation

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE NETWORK AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

20. Miscellaneous

This Agreement will be governed by the laws of the United States and the state of California, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Orange County, California, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
